By accessing or using the Beloré platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all users, including escrow companies, title companies, and their authorized personnel.

2. Description of Service

Beloré provides a technology platform that enables licensed escrow and title companies to manage cryptocurrency transactions associated with real estate closings. The Service facilitates the tracking of crypto deposits to platform-managed wallets and the conversion of digital assets to fiat currency for disbursement.

3. Important Disclaimers

Beloré is not a licensed real estate company, real estate brokerage, bank, money transmitter, or financial institution.

Beloré does not provide escrow services directly. The Service is a technology platform used by independently licensed escrow and title companies to facilitate their operations. Beloré does not hold, manage, or control escrow funds on its own behalf.

Beloré does not provide financial, legal, tax, or investment advice. Users are responsible for consulting their own qualified professionals regarding any legal, regulatory, or tax obligations related to their use of the Service.

Cryptocurrency transactions involve inherent risks, including but not limited to price volatility, network delays, and regulatory uncertainty. Beloré makes no guarantees regarding the value, timing, or finality of any cryptocurrency transaction processed through the platform.

4. Eligibility

The Service is available only to licensed escrow companies, title companies, and their authorized employees operating in jurisdictions where such services are permitted. By using the Service, you represent that you hold all licenses and authorizations required by applicable law.

5. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to notify Beloré immediately of any unauthorized access or use of your account. Beloré reserves the right to suspend or terminate accounts that violate these Terms.

6. KYB Verification

All companies must complete Know Your Business (KYB) verification before accessing the full functionality of the Service. By submitting verification information, you represent that all information provided is accurate, current, and complete. Beloré reserves the right to deny or revoke access if verification cannot be satisfactorily completed.

7. Prohibited Uses

You agree not to use the Service to:

• Engage in money laundering, fraud, or any illegal activity
• Process transactions involving sanctioned parties or jurisdictions
• Circumvent or attempt to circumvent any security measures
• Misrepresent your identity, licensing status, or authorization
• Interfere with or disrupt the integrity of the Service

8. Third-Party Services

The Service integrates with third-party providers for cryptocurrency custody, fiat conversion, identity verification, and other functions. Your use of these third-party services is subject to their respective terms and conditions. Beloré is not responsible for the availability, accuracy, or performance of any third-party service.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Beloré shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service. Beloré's total aggregate liability shall not exceed the fees paid by you to Beloré in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Beloré and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation.

11. Modifications

Beloré reserves the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Continued use of the Service after such notification constitutes acceptance of the modified Terms.

12. Termination

Beloré may suspend or terminate your access to the Service at any time, with or without cause. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive, including disclaimers, limitations of liability, and indemnification.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
